In the field of Banking and Finance, the practice regularly deals with issues relating to commercial transactions (including
traditional loan financing, leveraged and acquisition financing, property financing) and financial transactions (finance leases and all sorts of financing negotiations and contracts). Members have also rendered support to major domestic
players in banking and insurance by advising them on the legality of their various decisions.
The practice deals with all aspects of company law from incorporation to dissolution, including mergers and acquisitions, directors’ duties and shareholders’ rights. Members have acquired substantial expertise in structuring domestic and cross-border investments and transactions.
The team drafted the legal documentation in connection with the listing of the first closed-end fund on the Development
and Enterprise Market of Stock Exchange of Mauritius.
This is a substantial component of the practice. Members have advised in all the high- profiles insolvencies and
receiverships.
Over a period of three years, we have provided day-to-day legal advice, conducted pre-liquidation due diligence and
managed the liquidation operations of 3 Protected Cell Companies operating in the Mauritius offshore sector and which
held major investments in various jurisdictions. The 3 PCCs were previously managed by a management company whose
license was suspended by the relevant regulator.
Over one year, we have also worked on the day-to-day legal operations of the administration of a Mauritius company for
the administrator appointed by the Mauritius Financial Services Commission.
We are well cognizant in the area of financial services and are able to advise complex issues of securities laws. We advise
domestic and international players on capital market matters including the listing of securities and the raising of capital on
the Stock Exchange of Mauritius, advising in relation to the securities laws in Mauritius and liaising with the regulator, the
Financial Services Commission.
Whatever our clients' needs - fund manager or investor - our lawyers provide bespoke, commercial advice on fund
structuring, formation, investment and exit of the fund.
We deliver cost-effective advice covering all aspects of funds, including fund formation, tax structuring, negotiating legal
and commercial fund terms.
The practice is thoroughly experienced in the area of intellectual property rights, and advices on patent, trademark,
copyright. We have further addressed IP registration on a global basis to attend to the best protection of clients where they have a commercial activity.

We support our foreign clients in respect of their investment in Mauritius whether through acquisitions of immovable
property or participation in businesses.
We accompany our clients during the course of their real estate acquisitions by being fully involved in the drafting of
appropriate documentation, perform due diligences, interact with local authorities for purposes of obtaining
authorisations and approvals for the acquisitions and operations of the clients.
We have worked extensively in civil and commercial litigation which involves on an exclusive basis Senior Counsel Rishi Pursem in all
our commercial litigation.
We provide general business representation to various clients in the areas of commercial transactions, receiverships, winding up
business organizations, commercial property acquisitions and commercial leasing.
Our team has recently secured a judgment in favour of our South African client involved in the mining industry against a major
international bank where it has been awarded USD 1.7 million as damages by the Commercial Division of the Supreme Court of
Mauritius.
